Decisions made by the Board of directors of MMC Norilsk Nickel

On May 27 At the regular meeting of the Board of Directors of OJSC MMC Norilsk Nickel (hereinafter - MMC Norilsk Nickel or the Company) that took place today the following issues were considered:

I. Voting Ballot for the Annual General Meeting (AGM).

The Board approved the Voting Ballot for the AGM, which includes the following questions:

1. Approval of 2009 Annual Report of MMC Norilsk Nickel.
2. Approval of 2009 Annual Accounting Statements including Profit and Loss Statement of MMC Norilsk Nickel.
3. Allocation of 2009 profits and losses of MMC Norilsk Nickel.
4. Dividends on MMC Norilsk Nickel shares for 2009.
5. Election of the Board of Directors of MMC Norilsk Nickel.
6. Election of the Revision Commission of MMC Norilsk Nickel.
7. Approval of the auditor for MMC Norilsk Nickel’s Russian accounting statements.
8. Remunerations and compensation of expenses incurred by independent directors on the Board of Directors of MMC Norilsk Nickel.
9. Evaluation of property, which is the subject of Indemnity Agreements with members of the Company’s Board of Directors and Management Board.
10. Approval of interrelated interested-party transactions involving indemnification of members of MMC Norilsk Nickel’s Board of Directors and Management Board.
11. Evaluation of the cost of services related to liability insurance of members of the Board of Directors and Management Board.
12. Approval of the interested party transaction that involves liability insurance of members of the Board of Directors and Management Board.
13. Interrelated interested party transactions between the Company and CJSC NORMETIMPEX.

As was announced earlier, the AGM of MMC Norilsk Nickel will be held on June 28, 2010 at the following venue: Moscow, ul. B. Yakimanka, 24, Bolshoy Petrovsky Hall of the President Hotel. The meeting will start at 15:00 and registration of shareholders – at 12:00 (Moscow time).

Information materials will be made available to shareholders to the Notice addresses, including the offices of the Company’s Registrar, CJSC National Register Company, and at the website of MMC Norilsk Nickel (www.nornik.ru) not later than 20 days prior to the Meeting.

II. 2009 dividends.

The Board of Directors recommends to the shareholders to approve the payout of 2009 dividends in the amount of RUB 210 per share. The total sum of dividends is USD1.325 billion or 50% of IFRS net profit.

III. Candidates for the Board of Directors.

The Board of Directors recommends that shareholders vote for to elect Brad Mills and Gerard Holden as independent members of the Board of Directors, taking into account their wide experience, knowledge and commitment to promotion of strategic development of the Company.

IV. Social Report 2009.

The members of the Board approved the Social Report for the year 2009, which is to be published on the Company’s web site.
